ARTICLE
I -- NAME
The name of this organization shall be the “MOO COW BIKERS,
hereinafter referred to as “MOO COW”. The organization is not incorporated. ARTICLE
II -- OBJECTIVES
The objectives of the “MOO COW” shall include, but not be
limited to: A.
Promoting and maintaining wholesome family virtues, friendship within
the club and with other bikers, encouraging community service, frequent and
safe motorcycle riding. B.
Being positive ambassadors for frequent and safe motorcycle riding. C.
Promoting and cooperating with this and other motorcycle clubs to work
within the community, and the world, to provide financial and personal support
to chosen charitable organizations. ARTICLE
III -- ORGANIZATION
A.
The initial “MOO COW” chapter is headquartered in Fayetteville, GA., and is identified with and “Atlanta” name on
the back of the chapter jacket.
B. “Atlanta MOO COW” shall maintain control of all club logos,
“Moo Cow” patches, wording relating to “Moo Cow”, and the
club name.
C. New Chapters shall be identified by the city in which they are
located with names being assigned by “MOO COW ATLANTA”.
D. Geographical boundaries shall be established by “MOO COW
ATLANTA”. Normally, the geographical boundary will extend
fifty (50) miles from a new chapters’ headquarters.
E. All new chapters shall be governed by these by laws. The
structure of any new chapter shall be the same as described in
the by laws of Moo Cow Bikers. F.
Should conflicts arise, which can not be settled within a chapter, “MOO COW ATLANTA” shall have the final
authority to settle said conflict,
hopefully through arbitration. ARTICLE
IV -- MEMBERSHIP A.
The membership in “MOO COW” shall be open to all persons interested in the pursuit and development of wholesome family
virtues, friendship, community service and motorcycle riding.
B.
Membership shall become effective upon payment of annual membership dues. C.
The Membership Year shall run from January 1 through December 31. D.
Membership is effective only for the Membership Year in which dues are paid. E.
Dues shall be set annually by the Executive Committee of
each club. F.
All members shall sign an enrollment and release form
when joining the club. The release form shall put members on
notice that persons serving as officers or leaders of the organization without compensation shall be immune from civil
liability for any act or any omission to act arising out of such service so long as that officer or
leader was acting in good faith within
the scope of his or her official capacity. ARTICLE
V -- OFFICERS/EXECUTIVE COMMITTEE A.
“MOO COW” Officers, who make up the Executive Committee, shall be a President, Vice President, Secretary, Treasurer, and
Sergent at Arms. Each officer shall have one vote in any
business brought before the Executive Committee. Issues shall
be decided by the vote of the officers other than the President.
In the event of a tie vote on any issue the President shall cast
the deciding vote. B.
Any “MOO COW” member whose membership is paid in full shall be eligible to run for and serve as an officer and/or
chairperson of any committee. C.
Terms of office for all officers shall be one year. An officer may
run for the same, or any other office, after his or her term
expires. D.
In the event an officer cannot complete his/her full term for
any reason, a replacement for that term will be appointed by
majority vote of the remaining members of the Executive
Committee. ARTICLE
VI -- DUTIES OF OFFICERS A.
The PRESIDENT shall preside at all meetings of the organization, appoint all committees, and shall be an ex officio
member of all committees, except the nominating committee. B.
The VICE PRESIDENT shall assume all the duties of the president in his/her absence.
He/she shall serve as the chairperson
of the membership and nominating committees
and assume other duties as assigned by the President. C.
The SECRETARY shall keep the records and minutes of all meetings, attend to the correspondence, and perform such
other duties as deemed necessary. D.
The TREASURER shall receive all funds due the organization,
deposit same, pay all bills as determined by the membership,
and submit the books to the auditing committee.
This officer
shall be bonded by the organization. E.
The SERGENT AT ARMS is responsible for maintaining order at all meetings and club functions. The Sargent At Arms shall
have the ability to levy and collect fines from the membership
when, in the sole discretion of the Sargent At Arms, a member
is "out of order, improperly dressed, or in general, conducting
him/herself in a manner not consistent with the "MOO COW"
image.” ARTICLE
VII -- THE NATIONAL EXECUTIVE COMMITTEE A.
The National Executive Committee shall be composed of the President of MOO COW ATLANTA and the President of other
"MOO COW" chapters. 1)
A Chapter, not adhering to the “MOO COW” By Laws, may be dissolved
at the discretion of MOO COW ATLANTA. Upon dissolution, all club logos and materials
will be expeditiously returned to MOO COW ATLANTA.
2) Violations
of “MOO COW” policy or by laws will be
addressed by MOO COW ATLANTA forthwith.
Decisions by MOO COW ATLANTA are final.
B.
The National Executive Committee shall have the emergency power to act for the membership of any local chapter. C.
The National Executive Committee shall meet at least once annually and at other times when called by the President of
MOO COW ATLANTA. ARTICLE
VIII -- MEETINGS A.
The regular meetings of this organization shall be held on the
first Tuesday of each
calendar month, except when
changed by vote of the general membership. B.
Special meetings may be called at any time by the President. Notice of the date, time, place and business to be transacted
shall be given by the secretary to the members at least five (5) days in advance.
Only that business for which notice has been given shall be transacted at special meetings. C.
A Quorum shall consist of those members present, but shall not be less than 25% of the dues paying membership. ARTICLE
IX -- STANDING COMMITTEES
A.
There shall be the following standing committees: Ride Committee, Membership, Safety, Charity Development and
such other committees as the local chapter President shall deem necessary. B.
The Ride Committee shall be responsible for compiling destinations, routes, and rules of the road for all club rides.
SAFETY is paramount on all rides. C.
The Membership Committee shall be responsible for maintaining membership records for the club, greeting
members at all meetings and for conducting
the annual membership drive. D.
The Safety Committee shall be responsible for conducting safety instruction to the club and to any others the Executive
Committee choses. E.
The Charity Development Committee shall be responsible for
the research, development and continuation of charities which
the club shall serve. ARTICLE
X -- DUES A.
Dues shall be set annually by the Executive Committee.
Dues shall be payable annually,
either at the beginning of the club year, or upon joining the club. ARTICLE
XI -- ELECTIONS A. A Nominating Committee shall be appointed by the President at the regular October meeting of each year. Nominations may be made from the floor after the report of the Nominating Committee. B.
Officers are to be elected at the regular December meeting. They shall take office
at the regular January meeting. C.
A majority vote of the members present shall constitute an election. ARTICLE
XII -- PARLIAMENTARY AUTHORITY A.
The rules contained in Robert's Rules of Order Newly Revised shall govern this organization in all cases in which they do
not conflict with the rules of this
organization. ARTICLE
XIII -- AMENDMENTS A.
These Bylaws may be amended by a 2/3 vote of those present at any regular meeting. The
amendments must have been presented at
the preceding regular meeting of the organization. Revised
